Welcome to our website. If you continue to browse and use this website you are agreeing to comply with and be bound by the following terms and conditions of use, which together with our privacy policy govern ChefConnect relationship with you in relation to this website and the Service (as described below). The term 'ChefConnect' or 'us' or 'we' refers to the owner of the website. The term 'you' refers to the user or viewer of our website. Given continued consideration of the coronavirus (COVID-19) outbreak, we know that flexibility is what our guests need right now and want to make sure they aren’t being penalised for changing their plans — that’s the responsible thing to do. Therefore, we have decided to expand our cancellation policy to include a specific clause of Force Majeure, which is triggered by the following causes.

• Travel bans and travel restrictions (Travellers to/from high risk destinations)
• Border closures
• Government service interruptions (Transit, public services, national park closures)
• Flight cancellations

Considering the above, you are able to choose among the following three options:

• Request a refund under our regular cancellation policy: 100% refund if requested more than 15 days prior to the service, 50% refund if requested less than 15 days prior to the service, 0% refund if requested less than 7 days prior to the service.
• Request a voucher for the total amount to be redeemed at a later point over a 2-years period in any city.
• Reschedule the reservation with the same chef for a later point in time

On the other hand, we are also committed to protect our chefs on this difficult situation. Therefore, any purchases made already for your reservation will be reimbursed to the chef and discounted from the refund/voucher.

1 Definitions
In this document:
CGU: Means current General Terms and Conditions of Use.
Chef: Means the User who uses the Platform to offer their private chef services in exchange for a price freely agreed between the parties (chef and diner).
Diner: Means the User who uses the Platform to request a private chef service and eventually contracts the services of a Chef, agreed between the parties.
Account: Means the account that must be created in the Platform to be a User and to be able to access the Services that are requested and offered by Users in it.
Messages: Means the shared communications between chef and diner through the Platform during the offer process prior to the Reservation.
Menu: Means the specific content of the offer in order to provison the private chef services, made by the chef to the diner in response to the request registered by the diner through the Platform, it includes both the specific menu proposal and any shared messages with the diner in relation to the service offered.
Offer: Means the content of the provision of services offered freely and independently by the chef to the Diner in response to a Request, it includes both the Menu and the Messages exchanged between the chef and Diner.
Chef Profile: It means all the information uploaded by the Chef to the Platform related to his user profile, including both text and Images, and which will be visible both in his public chef profile and every time the Diner receives an Offer from the Chef.
Price: It means the sum of the Chef's Fee and the Management Expenses, and it is the amount that the Client pays through the Platform to confirm a Reservation.
Service: Means the object of the contractual relationship between the Chef and Diner, based on the provision of a gastronomic service specified in an Offer, with conditions freely established between the parties.
Website: Means the website that can be accessed from the address https://www.takeachef.com.
Request: Means the request for a private chef service by a Diner through the Platform.
Chef's Fee: It means the sum that the chef receives after the execution of the service, discounting the Management Expenses from the Price.
User: Means any person who has created an Account on the Platform;

2 USER(S) ELIGIBILITY
User(s) means any individual or business entity/organization that legally operates in India or in other countries, uses and has the right to use the Services provided by ChefConnect. The Services provided by ChefConnect is a technology-based service which enables the hiring of Cooks/Chefs for home for cooking service through the internet and / or mobile telecommunications devices. Our Services are available only to those individuals or companies who can form legally binding contracts under the applicable law. Therefore, user(s) must not be a minor as per Indian Law; i. e. user(s) must be at least 18 years of age to be eligible to use our Services. ChefConnect advises its users that while accessing the web site, they must follow/abide by the related laws. ChefConnect is not responsible for the possible consequences caused by your behaviour during use of web site. ChefConnect may, in its sole discretion, refuse the service to anyone at any time.
These terms and conditions are intended to regulate access and terms of use of the Platform. Please read these conditions carefully. You understand and acknowledge that ChefConnect is not a party to any contract, agreement or contractual relationship, of any kind, signed between the Users of its Platform.
By registering with an email address, you acknowledge that you have read and accepted these general conditions of use.

3. Registration on the Platform and creation of an Account
3.1. Registration conditions on the Platform
The Platform can only be used by people over 18 years of age. Registration on the platform by a minor is strictly prohibited. By accessing, using or registering on the Platform, you confirm and guarantee that you are over 18 years of age.
3.2. Creating an Account
The Platform allows Users to request and offer the provision of Private Chef Services with the ultimate aim of confirming a Reservation through the Platform. In order to request or offer these Services, it is necessary to register on the Platform as a User, either as Chef or Diner respectively. To register on the Platform it is necessary that you have read and accepted these CGU and the Privacy Policy.
By creating your Account, regardless of the method selected, you agree to provide true and accurate information, and to update said information through your profile or by sending a notification to ChefConnect, in order to guarantee its relevance and accuracy for the entire duration of your contractual relationship with ChefConnect. In the event that you register using an email, you agree to keep the password selected during the creation of your Account a secret and not to communicate it to any other person. In case of loss or disclosure of your password, you must notify ChefConnect immediately. You are solely responsible for the use of your Account by third parties, unless you have expressly notified ChefConnect of the loss, fraudulent use by a third party, or the disclosure of your password to a third party. Remember not to create or use, under your own identity or under the identity of a third party, any additional Account to the one created initially.
3.3. Verification
ChefConnect may, for transparency purposes, to improve veracity or to prevent or detect fraud, establish a system to verify part of the information provided in your profile. It basically refers to those cases in which you enter your phone number or provide us with an Identity Document. You acknowledge and agree that any reference on the Platform or the Services to “certified” information, or to any other similar term, only means that a User has successfully passed the verification procedure existing on the Platform or the Services to provide more information about the User with whom you are planning to share a Journey. ChefConnect cannot guarantee the veracity, reliability or validity of the information subject to the verification

4 USER(S) AGREEMENT
This agreement applies to user(s) if user(s) are visitors, registered - free or paid user(s) who access the web site for any purpose. It also applies to any legal entity which may be represented by you under actual or apparent authority. User(s) may use this site solely for their own personal or internal purposes.
This agreement applies to all ChefConnect Services offered on the web site, collectively with any additional terms and condition that may be applicable to the specific service used/accessed by user(s). In the event of a conflict or inconsistency between any provision of the terms and conditions mentioned herein with those of the particular service, the provisions of the terms and conditions applicable to such specific Services shall prevail.

5 AMENDMENT TO USER(S) AGREEMENT
ChefConnect may change, modify, amend, or update this agreement from time to time without any prior notification to user(s) and the amended and restated terms and conditions of use shall be effective immediately on posting. If you do not adhere to the changes, you must stop using the service. Your continuous use of the Services will signify your acceptance of the changed terms.

6. Cancellation Policy
6.1. Conditions for reimbursement of payment in case of cancellation
Cancellation of a Service will be subject to the following:

• If the cancellation is made by the Chef, the total amount paid will be refunded to the guest.
• In case of cancellation by the Guest:
• If the Guest cancels the Service with more than 15 days notice, the guest is entitled to 100% refund
• If the Guest cancels the Service with more than 7 days and less than 15 days before the time set for the Service, the Guest will be entitled to a refund of 50% of the amount paid, which will be paid to the Chef.
• If the guest cancels the service less than 7 days before the time set for the service, no refund will be made to the guest. The Chef will receive the Service Fee fixed in his Offer, and ChefConnect will keep the Management Fees.

ChefConnect will evaluate, at its discretion and according to the information available, the legitimacy of the refund requests. ChefConnect reserves the right to hold 3% of the payment in case any refund is applicable in order to cover payment processing fees. In the event that a refund applies, ChefConnect will retain 3% of the total service covered by the non-refundable transactional fees
6.2. Refund deadlines
In case that the Client wishes to make a claim regarding a contracted Service, they must contact ChefConnect within the next 48 hours starting from the date and time scheduled for the execution of the Service. Once said period has elapsed, if the object of the Client's claim was the refund of the amount paid when contracting the Service for any reason or defect related to its execution, even when said reason or defect was not the responsibility of the Client, and as long as the Service had already been paid to the Chef, the claim will be denied.

7. Behaviour of Platform visitors and Users
7.1. Commitment of all visitors to the Platform
You acknowledge that you are solely responsible for complying with all laws, regulations and obligations applicable to the use of the Platform.

• not to send to ChefConnect (especially at the time of the creation or the update of your Account) nor to the other Users of the Platform false, confused, malicious or fraudulent information;
• not to speak or behave or publish any content on the Platform that may be defamatory, offensive, obscene, pornographic, vulgar, offensive, aggressive, inappropriate, violent, threatening, harassing, racist or xenophobic in nature, or that has sexual connotations, incites violence, discrimination or hatred, or that encourages activities or the use of illegal substances or in a more general way that is contrary to the objectives of the Platform and that may infringe the rights of ChefConnect or a third party, or that may be contrary to good customs;
• not to infringe the rights and not to harm the image of ChefConnect, in particular with regard to its intellectual property rights;
• not to open more than one Account on the Platform and not to open an Account on behalf of a third party;
• not to attempt to circumvent the online booking system of the Platform, mainly by trying to send to another User your contact information to make the booking outside the Platform in order to avoid the payment of the Management Fees;
• not to contact another User, through the Platform, for any purpose other than defining the conditions of the private chef service;
• not to accept or make payment outside the Platform;
• to comply with the Privacy Policy.

7.2. Commitments of the Chefs
When you use the Platform as a Chef, you commit to:

• to respect all laws, regulations and codes regarding the activity of private chef, especially to have liability insurance in force at the time of the Service;
• verify that your insurance policy covers the services offered in each Offer sent to the Customer;
• not assume any risk during the performance of the Service, nor take any product or substance that may adversely affect your care and due diligence required by the activity of the Service itself;
• to execute the Service as described in the Offer and to respect the times and places agreed with the Guest;
• use utensils in good condition, complying with all legal regulations in this area, especially those relating to hygiene;
• to use raw materials in perfect condition, which comply with the sanitary requirements demanded by the current legislation applicable to the matter;
• comply with the legal regulations on food transport, especially those referring to the respect of the cold chain;
• not to send any Offer to those Requests that you are not going to execute personally;
• ensure that Diners can contact you at the telephone number registered in your profile
• not have any contraindication or medical incapacity to perform the activity of the Service;
• behave appropriately and responsibly during the Service, in accordance with these GTU.

7.3. Commitments of Diners
When you use the platform as a diner, you commit to:

• communicate to Chef any changes or modifications regarding the conditions of service agreed on the Platform;
• ensure that Chef can contact you at the telephone number registered in your profile;
• to communicate to ChefConnect, or to any Chef who requests it, your identity card or any other document that proves your identity;
• inform the Chef of any relevant information that he/she should know about the real and personal property that he/she will have to use/occupy during the Service, especially in case of countertops, walls, glass, glass-ceramics or any other equipment that could be damaged during the execution of the Service;
• provide the Chef with the dishes, glassware, cutlery and other utensils that are necessary to carry out the Service;
• wait for the Chef at least 30 minutes after the appointed time.

8 Confidentiality
The Company, its chefs, personnel, employees, and interns shall keep the confidentiality to all information received in the course of bookings and conducting the event and maintain confidentiality all throughout.

9 INTELLECTUAL PROPERTY RIGHTS
ChefConnect is the sole owner or lawful licensee of all the rights to the web site and its content. Web site content means its design, layout, text, images, graphics, sound, video etc. The web site content embodies trade secrets and intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the web site and its content shall remain with ChefConnect, its affiliates or licensor's of ChefConnect content, as the case may be. All rights, not otherwise claimed under this agreement or by ChefConnect.com, are hereby reserved. The information contained in this web site is intended, solely to provide general information for the personal use of the reader, who accepts full responsibility for its use. ChefConnect does not represent or endorse the accuracy or reliability of any information, or advertisements (collectively, the "content") contained on, distributed through, or linked, downloaded or accessed from any of the Services contained on this web site, or the quality of any products, information or other materials displayed, or obtained by you as a result of an advertisement or any other information or offer in or in connection with the Service. 10 Copyright
All content on this website is the copyright of ChefConnect except the third party content and link to third party website on our website. Systematic retrieval of ChefConnect content to create or compile, directly or indirectly, a collection, compilation, database or directory (whether through robots, spiders, automatic devices or manual processes) without written permission from ChefConnect is prohibited. In addition, use of the content for any purpose not expressly permitted in this Agreement is prohibited and may invite legal action. As a condition of your access to and use of ChefConnect Services, you agree that you will not use the application service to infringe the intellectual property rights of others in any way. ChefConnect reserves the right to terminate the account of a user(s) upon any infringement of the rights of others in conjunction with use of the ChefConnect service, or if ChefConnect believes that user(s) conduct is harmful to the interests of ChefConnect, its affiliates, or other users, or for any other reason in ChefConnect’s sole discretion, with or without cause.

11 USER ACCOUNTS, OFFERS AND PROMOTIONS
ChefConnect reserves the right to collect user data including name, contact information and other details to facilitate services or use of its platform to avail services. All information collected from the user are on a bonafide basis. Misuse and misrepresentation of identity or contact details will lead to automated termination of services or the use of the platform without prior notice to such users. ChefConnect │ Privacy Policy 7 User accounts bearing contact number and email IDs are created and owned by ChefConnect. Any promotional discounts and offers can be revoked without prior notice in the event of suspicious account activity or malefice intent of the user. In the case where the system is unable to establish unique identity of the user against a valid mobile number or e-mail ID, the account shall be indefinitely suspended. ChefConnect reserves the full discretion to suspend a user's account in the above event and does not have the liability to share any account information whatsoever.

12 LINKS TO THIRD PARTY SITES
Links to third party sites are provided by web site as a convenience to user(s) and ChefConnect has not have any control over such sites i.e. content and resources provided by them. ChefConnect may allow user(s) access to content, products or Services offered by third parties through hyperlinks (in the form of word link, banners, channels or otherwise) to such Third Party's web site. You are cautioned to read such sites' terms and conditions and/or privacy policies before using such sites in order to be aware of the terms and conditions of your use of such sites. ChefConnect believes that user(s) acknowledge that ChefConnect has no control over such third party's site, does not monitor such sites, and ChefConnect shall not be responsible or liable to anyone for such third-party site, or any content, products or Services made available on such a site.

13 Personal Data
In the context of your use of the Platform, ChefConnect will collect and process your personal information. By using the Platform and registering as a User, you acknowledge and accept the processing of your personal data by ChefConnect in accordance with applicable legislation and the provisions of the Privacy Policy.

14 TRANSFER OF INFORMATION
We may contract with various third parties for the provision and maintenance of the Website, Services, and our business operations, and ChefConnect may need to share your personal information and data generated by cookies and aggregate information (collectively, “information”) with these vendors and service agencies. For example, we may provide your information to credit card processing company to process your payment. The vendors and service agencies will not receive any right to use your personal information beyond what is necessary to perform its obligations to provide the Services to you. In the event that ChefConnect undergoes a change in control, including, without limitation, a merger or sale of all or substantially all of ChefConnect ‘s assets to which this Website relates or other corporate reorganization in which ChefConnect participates, and is thus merged with or acquired by a third party entity (a “Successor”), ChefConnect hereby reserves the right to transfer the information we have collected from the users of the Website and/or Services to such Successor. In addition, in the event of ChefConnect ‘s bankruptcy, reorganization, receivership, or assignment for the benefit of creditors, or the application of laws or equitable principles affecting creditors’ rights generally, ChefConnect may not be able to control how your information is transferred, used, or treated and reserves the right to transfer the information we have collected from the users of the Website and/or Services to affiliated third parties in such event.

15 TERMINATION
Most content and some of the features on the web site are made available to visitors free of charge. However, ChefConnect reserves the right to terminate access to certain areas or features of the web site at any time for any reason, with or without notice. ChefConnect also reserves the universal right to deny access to particular users to any/all of its Services without any prior notice/explanation in order to protect the interests of ChefConnect and/or other visitors to the web site.
